Please read these Terms carefully. By creating an account, clicking “I agree,” or otherwise using the Service, you agree to be bound by these Terms, including the binding arbitration and class-action waiver in Section 19. If you do not agree, do not use the Service.

These Terms are not medical advice. If you are experiencing a medical emergency, call 911 or your local emergency number immediately. The Service is not appropriate for all medical conditions.

1. About these Terms and who we are

These Terms of Service (the “Terms”) form a binding agreement between you and Axiom Health, Inc., a Delaware corporation (“Axiom,” “we,” “us,” or “our”), and govern your access to and use of joinaxiomhealth.com, any Axiom mobile application, and any related products, services, communications, or content we make available (together, the “Service”). We may amend these Terms at any time by posting a revised version with an updated effective date. Material changes will be communicated through the Service or by email where required. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you do not agree, your sole remedy is to stop using the Service.

2. Eligibility and where the Service is offered

You must be at least 18 years old (or the age of majority in your state of residence, if higher) to use the Service, and you must live and be physically located in a U.S. state where the Service and affiliated clinicians are licensed to operate. By using the Service, you represent and warrant that you meet these requirements, that the information you provide is true and complete, and that you will keep your account information current. We may refuse, suspend, or terminate access if we have reason to believe these requirements are not met.

Availability of specific clinical offerings depends on state law and clinician licensure and may change without notice. The Service is intended for use only in the United States.

3. What the Service is and is not

Axiom is a technology platform that supports clinician-led telemedicine. We connect you with independent, licensed clinicians and with pharmacies and laboratories that may provide products and services to you. Axiom does not practice medicine, prescribe medication, dispense medication, or render clinical judgments. Clinical decisions are made solely by licensed clinicians in their independent professional judgment.

Information on the Service is educational and informational only and is not medical advice. It is not a substitute for evaluation by a qualified clinician. Always consult a qualified clinician before starting, stopping, or changing any treatment. The Service is not appropriate for medical emergencies; if you are experiencing one, call 911 or go to the nearest emergency room.

4. Your relationship with affiliated clinicians and pharmacies

When you receive clinical evaluation, treatment, or follow-up through the Service, you are establishing a professional relationship with the licensed clinician or affiliated medical group providing that care, not with Axiom. Prescription medications dispensed through the Service are dispensed by licensed pharmacies, and laboratory services are performed by licensed laboratories. Each clinician, medical group, pharmacy, and laboratory operates independently and is solely responsible for the care, products, or services they provide.

By accepting these Terms, you acknowledge that affiliated clinicians, medical groups, pharmacies, and laboratories are intended third-party beneficiaries of these Terms and may enforce the provisions that protect them.

We may identify specific partner clinicians, pharmacies, and laboratories through the Service from time to time. Your prescriptions may be filled by, and transferred between, any of our pharmacy partners. You remain free to fill any prescription at a pharmacy of your choice, in which case you will pay that pharmacy directly for the medication.

5. Telehealth consent

Use of the Service requires you to review and agree to a separate Telehealth Consent & Open Payments Notice. That document describes the use of telehealth, the benefits and risks of receiving care electronically, and your right to withdraw consent. By using the Service to obtain clinical evaluation, you confirm that you have read and agreed to the Telehealth Consent.

6. Membership, subscriptions, and renewals

Many of the Service's offerings are provided through membership or subscription plans. By enrolling, you authorize us and our payment processors to charge your payment method on a recurring basis at the price, frequency, and term disclosed to you at checkout, including any applicable taxes, shipping, and handling, until you cancel.

Subscriptions automatically renew at the end of each billing period at the then-current renewal price. We may charge a renewal up to two days before the scheduled date to support continuity of care or accommodate operational and shipping factors. We may change subscription pricing or terms with advance notice before renewal. From time to time, the Service may offer membership-based access, application-based intake, or cohort enrollment as part of specific programs; these enrollment formats may change at any time.

If a subscription bundles a clinical consultation, prescription fulfillment, lab services, and/or platform access into a single price, the amounts attributable to clinical services, dispensed medications, and laboratory services are collected by us on behalf of the applicable clinician, medical group, pharmacy, or laboratory and remitted to them.

7. Cancellation and refunds

You may cancel a subscription at any time through your account settings, by emailing hello@joinaxiomhealth.com, or by following any other cancellation instructions provided in the Service. To stop the next renewal charge, you must cancel at least two days before the next renewal date. Cancellation takes effect at the end of the then-current billing period.

Except where required by law, we do not refund partial subscription periods, shipped medications, or services already rendered. We may offer refunds at our discretion on a case-by-case basis. If your prescription is canceled (by you, by your clinician, or by termination of your account), no further medication will be shipped after the cancellation date.

8. Prescription medications

The Service may make available prescription medications, which may include compounded preparations and FDA-approved branded or generic medications. A medication is dispensed only if a licensed clinician determines, in their independent professional judgment, that it is appropriate for you and writes a prescription.

Compounded preparations are prepared by licensed compounding pharmacies and are not approved by the U.S. Food and Drug Administration (FDA). Statements about compounded preparations on the Service have not been evaluated by the FDA and are not intended to diagnose, treat, cure, or prevent any disease. Availability, formulation, and pricing of any medication may change without notice and depend on clinician judgment, pharmacy sourcing, and applicable law.

You are responsible for storing and using any medication shipped to you in accordance with the instructions provided with it and the directions of your clinician. Not all packaging is child-resistant; keep medications out of reach of children and others.

9. Laboratory services

The Service may include access to laboratory testing ordered by a licensed clinician and performed by an affiliated laboratory. Where at-home collection kits are used, you are responsible for following the included instructions and submitting your sample within the time stated. Inadequate samples or late submissions may prevent processing. Laboratory results have inherent limitations and may not detect every condition. We encourage you to consult a qualified clinician regarding any result.

10. Payment, taxes, shipping, and pricing

You authorize us and our third-party payment processors to charge your designated payment method for all amounts due, including subscription charges, taxes, and shipping. You represent that any payment method you provide is yours to use, and you agree to maintain accurate billing information. If a charge fails, we may retry, request updated payment information from your card issuer's account-updater service, or suspend access until the issue is resolved.

Prices are shown in U.S. dollars and may change at any time. You are responsible for any applicable sales, use, or other taxes. We may estimate taxes at checkout; the final tax charged may vary. Shipping and handling charges, where applicable, are shown at checkout; delivery dates are estimates and not guaranteed. Risk of loss passes to you upon delivery to the carrier.

11. Cash-pay only; no insurance billing

The Service is cash-pay. Neither Axiom nor affiliated clinicians, medical groups, pharmacies, or laboratories participate in Medicare, Medicaid, or any other federal or state healthcare program, or in commercial insurance networks, for the products and services offered through the Service. You agree that you are solely responsible for all amounts charged and that you will not submit, and we will not submit on your behalf, any claim for reimbursement to a federal or state healthcare program or insurer.

12. Accounts and security

You must register an account to use most of the Service. You agree to provide accurate information, to keep your password confidential, to log out at the end of each session, and to notify us immediately of any unauthorized use of your account. You are responsible for activity that occurs under your credentials. We may suspend or terminate accounts for security, legal, or policy reasons.

13. Privacy and protected health information

Our handling of your information is described in our Privacy Policy and, where applicable, our Consumer Health Data Privacy Policy. Axiom is generally not a “covered entity” under the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”); however, affiliated clinicians, medical groups, pharmacies, or laboratories may be covered entities, and Axiom may act as a HIPAA business associate to them. To the extent any information you provide is protected health information under HIPAA or comparable state law, we will use and disclose it only as permitted by those laws and the applicable Notice of Privacy Practices.

14. Acceptable use

You agree not to:

  • Use the Service for any unlawful, fraudulent, harmful, or deceptive purpose, including providing false information about your identity, medical history, or eligibility;
  • Resell, transfer, or redistribute any prescription medication, laboratory service, or compounded preparation obtained through the Service;
  • Interfere with, disrupt, probe, or test the security of the Service or any network used by the Service, or attempt to access accounts, data, or systems you are not authorized to access;
  • Reverse engineer, decompile, scrape, or use any automated means to access the Service except as expressly permitted;
  • Upload viruses, malware, or content that infringes intellectual property, violates privacy or publicity rights, is harassing, defamatory, or otherwise unlawful;
  • Misuse AI-supported features, chat agents, or messaging tools to obtain emergency care, attempt to bypass clinical safeguards, or extract data not intended for you;
  • Use the Service in a way that violates these Terms or applicable law.

15. User submissions and license

You retain ownership of content you submit to the Service (“Submissions”), other than protected health information, which is governed by applicable law. By making a Submission that is not protected health information, you grant Axiom a non-exclusive, royalty-free, worldwide, perpetual, sublicensable license to use, reproduce, modify, display, and distribute the Submission for the purpose of operating and improving the Service. You represent that you have the rights necessary to grant this license and that your Submissions do not violate any third party's rights or applicable law.

16. Intellectual property

The Service, including its design, software, content, brand elements, and trademarks, is owned by Axiom or its licensors and is protected by intellectual property and other laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial purposes subject to these Terms. All rights not expressly granted are reserved.

17. Third-party goods and services

The Service may integrate with, link to, or rely on products and services provided by third parties, including payment processors, shipping carriers, pharmacies, laboratories, and analytics or advertising providers. Your interactions with third parties, including any terms, warranties, or representations associated with them, are between you and the third party. We are not responsible for third-party products, services, or content, and your use of them is at your own risk.

18. Disclaimers and limitation of liability

THE SERVICE AND ALL CONTENT, PRODUCTS, AND SERVICES PROVIDED THROUGH IT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OPERATION. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE ERROR-FREE, OR BE SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL AXIOM OR ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF AXIOM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO AXIOM IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) U.S. $1,000. ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE MUST BE BROUGHT WITHIN ONE (1) YEAR OF THE EVENT GIVING RISE TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR ON LIABILITY FOR CERTAIN DAMAGES; IN THOSE JURISDICTIONS, THE ABOVE LIMITATIONS APPLY ONLY TO THE EXTENT PERMITTED BY LAW.

19. Dispute resolution; binding arbitration and class waiver

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU AND AXIOM TO RESOLVE DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION AND WAIVES YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION, UNLESS YOU OPT OUT WITHIN 30 DAYS AS DESCRIBED BELOW.

19.1 Informal resolution

Before filing any arbitration or court action, the party initiating the dispute must send written notice to the other party describing the dispute and the relief sought. Notice to Axiom should be sent to hello@joinaxiomhealth.com and to Axiom Health, Inc., Attn: Legal — Dispute Notice, [street address], Wilmington, DE [zip]. The parties will then engage in a good-faith Informal Dispute Resolution Conference by telephone or video within 45 days. The statute of limitations is tolled during this process. If the dispute is not resolved within 30 days after the conference, either party may proceed to arbitration.

19.2 Binding arbitration

Except as provided in Section 19.4, all disputes between you and Axiom arising out of or relating to these Terms, the Service, or your relationship with Axiom or with affiliated clinicians, medical groups, pharmacies, or laboratories — including disputes about the scope, enforceability, or validity of this arbitration agreement — will be resolved by final and binding arbitration administered by National Arbitration and Mediation (“NAM”) under its Comprehensive Dispute Resolution Rules and Procedures, including, where applicable, its Supplemental Rules for Mass Arbitration Filings. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.

The arbitration will be conducted by a single neutral arbitrator. Unless the parties agree otherwise, the arbitration will take place in San Francisco, California, or in the county where you reside. The arbitrator may award the same individual relief a court could award. Judgment on the award may be entered in any court of competent jurisdiction.

19.3 Class action and jury trial waiver

You and Axiom agree that each may bring claims against the other only on an individual basis, and not as a plaintiff or class member in any purported class, collective, representative, or private-attorney-general proceeding. The arbitrator may not consolidate claims of multiple individuals or preside over any form of representative proceeding except as provided in Section 19.5. You and Axiom expressly waive any right to a trial by jury. If a court determines that this Section 19.3 is unenforceable as to a particular claim or request for relief, that claim or request may proceed in court, but all other claims will remain subject to arbitration.

19.4 Exceptions

Either party may (a) bring an individual action in a small-claims court of competent jurisdiction, so long as the action remains in that court and proceeds on an individual basis, or (b) seek injunctive or equitable relief in court to protect intellectual property rights or to prevent unauthorized access, theft, or misuse of the Service.

19.5 Batch arbitration

If 25 or more individual arbitrations of a substantially similar nature are filed against Axiom by or with the assistance of the same law firm or coordinated counsel within a 90-day period, the parties agree that NAM will administer the arbitrations in batches of up to 100 at a time, with one arbitrator per batch, one consolidated procedural calendar, and one set of filing and administrative fees per side per batch. Disputes about the applicability of this batching procedure will be decided by a standing administrative arbitrator appointed by NAM, whose fees Axiom will pay. If this batching provision is found unenforceable, the entire arbitration agreement is void, and disputes will be resolved in the courts identified in Section 20.

19.6 Opt-out

You may opt out of this arbitration agreement by sending a signed written notice within 30 days of first becoming subject to this arbitration agreement to: Axiom Health, Inc., Attn: Arbitration Opt-Out, [street address], Wilmington, DE [zip]. The notice must include your name, residence address, the email address associated with your account, and a clear statement that you wish to opt out. An opt-out submitted by anyone other than you individually is not valid. Opting out has no effect on other parts of these Terms.

19.7 Survival

This Section 19 survives termination of these Terms and your use of the Service.

20. Governing law and venue

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles, except that the Federal Arbitration Act governs Section 19. For any dispute not subject to arbitration (or where arbitration is found unenforceable), you and Axiom consent to the exclusive jurisdiction of the state and federal courts located in San Francisco, California.

21. Electronic communications and SMS

By using the Service, you consent to receive electronic communications from us, affiliated clinicians, pharmacies, and laboratories, including by email, in-app messaging, and SMS. You agree that electronic communications satisfy any legal requirement that a communication be in writing. Message and data rates may apply to SMS. You may opt out of marketing or promotional SMS by replying STOP to a message; transactional and clinically necessary communications may continue.

22. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including if we believe you have violated these Terms or applicable law, if required by a clinician or partner, or if we discontinue the Service. Sections that by their nature should survive (including Sections 15–20 and 23–25) will survive any termination.

23. Copyright and DMCA

We respect the intellectual property rights of others. If you believe that content on the Service infringes your copyright, please send a notice that complies with the U.S. Digital Millennium Copyright Act to hello@joinaxiomhealth.com with the subject line “DMCA Notice.” Your notice should identify the work claimed to be infringed, the material that is allegedly infringing and its location on the Service, your contact information, a statement that you have a good-faith belief that the use is not authorized, and a statement under penalty of perjury that the information is accurate and that you are authorized to act on behalf of the rights holder.

24. Miscellaneous

These Terms, together with the policies referenced in them, constitute the entire agreement between you and Axiom regarding the Service and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions will remain in effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable. Our failure to enforce any right is not a waiver of that right. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates any partnership, joint venture, agency, or employment relationship between you and Axiom.
